By using www.4ud.io. (the ‘Website’) searching and auditioning (the ‘Service’) you agree in full to these Terms and Conditions of Use as detailed below, before downloading and using any works.
Sit Up and Listen LTD (trading as 4ud.io) reserve the right to amend, change, remove and add to these Terms and Conditions of Use at any point without notice, and therefore; we recommend that you check this page regularly as your continued use of the ‘Website’, works and ‘Service’ shall be treated as acceptance of the new terms.
If you do not agree to the Terms and Conditions of Use in full, then you are not permitted to login, download, share or use the ‘Website’ and/or ‘Service’ and/or works in any way.
The Service
The ‘Service’ is a sound design and audio production library which must be auditioned before purchasing online via our ‘Website’. Once you have purchased a pack/download you are clear to use in the ways outlined in the description on the website. Intended for use by producers, presenters, podcasters, broadcasters across film, television, radio and new age multi platform media. You agree that you will only use the ‘Website’, ‘Service’ and works in productions listed.
You are invited to purchase, download and use all works, strictly subject to purchasing the audio and the license within.
By downloading the works, you agree that you either have ‘the appropriate licenses’ to use our works or are ‘working on behalf of a broadcaster who has the appropriate licenses for use’.
Downloading our works does not grant you any usage rights what so ever.

The ‘Website’ & ‘Your Account’
Our works will only be available to you once you have made a purchase, obtained the audio and a license.
You will need to fill in account details prior to purchasing and downloading our works.
If any of your details change whilst your account is active with us, you need to update your record through your online portal once you have logged in on the ‘Website’. It is important that a current and active email address is used.
If your account is dormant (unused) for a period of 36months, we will revoke your access and purge your data in accordance with our Privacy Policy.
You are solely responsible for keeping your username and password confidential and secure. You must not share your username and password with anyone else for any reason. If at any point you are aware of any unauthorised access of your account, you agree to notify us immediately by emailing studio@4ud.io
Sit Up and Listen LTD (Trading as 4ud.io) accepts no responsibility whatsoever for any damage resulting from lost or shared passwords.

Acceptable Use
You will only use the ‘Website’ and ‘Service’ as detailed in these ‘Terms and Conditions of Use’. Any breach of these conditions could mean your account is terminated.
Termination
Sit Up and Listen LTD (trading as 4ud.io) has the right to immediately terminate your access to the ‘Website’ and ‘Services’ at any time, without notice and for any reason. You agree that Sit Up and Listen LTD (trading as 4ud.io) is not liable to you or any third party for any termination of your account or for discontinuation of the ‘Website’ or for works being removed from the site for whatever reason.
Intellectual Property
The user acknowledges that all copyright, trademarks and all other intellectual property rights in 4ud.io works ‘Website’ and ‘Service’ shall remain that of Sit Up and Listen LTD.
Their use is subject at all times to obtain an appropriate licence from the copyright owner or its relevant agent before any exploitation or use of the works.
Images, album covers, text, trademarks and brands displayed on the ‘Website’ are protected by copyright, trademark and other intellectual property laws. You are not permitted to reproduce in any way.
Any unauthorised public performance, broadcast, communication to the public, copying and distribution is strictly prohibited.
Compensation/Damages
You agree to compensate Sit Up and Listen LTD (trading as 4ud.io) all costs, claims, proceedings and damages including its own reasonable legal costs which are incurred in respect of any breach by you of these Terms and Conditions of Use.
You also agree to compensate Sit Up and Listen LTD (trading as 4ud.io) any claim or demand brought by any third party arising out of your use of the ‘Website’, ‘Service’ and/or works.
Law
These Terms and Conditions of Use shall be governed by English law and the parties hereby irrevocably submit to the exclusive jurisdiction of the English Courts.
